These Terms and Conditions (“Terms”) are made between the customer (“Customer(s)”, “you”, “your”) and Horys Global Electronics Trading LLC, pursuant to Federal Decree-Law No. (32) of 2021 concerning Commercial Companies, and governed by the laws of the United Arab Emirates (“Horys”, “we”, “us”, “ours”) and govern your access to and use of all parts of the website and mobile application branded as Horys and referring to the domain http://horystech.com/ (the “Website”, the “Platform”, “App”).

These Terms explain how the user (the “User”, “you” or “your”) may use Horys website and any of its content. You should read, understand, and agree to these Terms before using our Website. By using or accessing the Website, you agree to be bound by these Terms and all supplementary agreements, including the Privacy and Cookies Policy, the Delivery, Warranty, and Return Policy, and any other subsequent agreement related to the present document and the operations of Horys, which are considered supplementary and an integral part of the present document.

By utilizing our Website and its functionalities, you explicitly acknowledge and accept the potential risks linked to digital assets. Horys holds no responsibility for any adverse outcomes resulting from your use of the Website.

1. ELIGIBILITY

1.1. Customer refers to, either a natural person who is at least 18 years of age possessing legal capacity and the requisite authority to agree to these Terms, or a legal entity with the necessary authorization to enter into these Terms on behalf of the entity.

1.2. Eligibility requirements for accessing certain Third-Party Partner Websites may vary. Some of these Third-Party Partner Websites may allow minors to access their services. Users should carefully review and comply with the specific terms and conditions, age restrictions, and guidelines in each Third-Party Partner Website. Horys is not liable for any disparities in eligibility criteria among the Third-Party Partner Websites. Customers are encouraged to contact the specific Third-Party Partner Website directly for clarification on their access and eligibility requirements. Your access to Third-Party Partner Websites through our Platform is contingent upon your compliance with the respective Third-Party Partner Website's terms and conditions, as well as any applicable laws and regulations in your jurisdiction.

1.3. We reserve the absolute right not to accept any and/or all individuals, organizations, groups, and/or Users from specific countries, that have established or possible connections to predicate offenses and/or sanctions imposed by the Office of Foreign Assets Control (OFAC), European Union (EU), United Nations Security Council (UNSC), the Organization for Security and Cooperation in Europe (OSCE) and other in-country local lists, including but not limited to sanctions lists and terrorist lists.

1.4. If a User decides to use the platform or third-party websites, being geographically located in countries sanctioned by the Office of Foreign Assets Control (OFAC), European Union (EU), United Nations Security Council (UNSC), the Organization for Security and Cooperation in Europe (OSCE) and other in-country local lists, the User automatically becomes obliged to follow all relevant local and international regulations, subject to the type of sanctions provided for in the respective lists.

1.5 All Customers originating from jurisdictions with any type of domestic and/or government restrictions on blockchain-related businesses are fully liable to comply with applicable regulations thereon, otherwise they may be subject to legal consequences derived from any non-compliance or inobservances. Horys accepts no liability whatsoever in connection with such Customers’ non-compliance.

2. DIGI ACCESS

2.1. To access and use our Platform and the benefits being offered on it, upon registration, the User shall join the Digi Access Membership (“Digi Access”), for an annual subscription fee of 39.00 USD (thirty-nine United States American dollars), VAT included, processed in AED Currency, valid from the date of payment and automatically renewable on an annual basis unless the User notifies the customer service team of their intention to cancel. In any event, once the subscription fee has been paid, this is non-refundable.

2.2. Benefits of the membership include:

2.2.1. Significant discounts on a wide range of Horys electronic products, accessories, and services.

2.2.2. Gain exclusive access to Horys’ special events, including product launches, hands-on workshops, and thought-provoking tech seminars. Members will be given the opportunity to RSVP for these events before the general public.

2.2.3. Newsletter subscription to stay informed about the latest tech news, product updates, and exclusive member offers through our monthly newsletter.

2.2.4. Community and networking to connect with like-minded tech enthusiasts, professionals, and experts through the online community forums, discussion boards, and networking events.

2.2.5. Access to curated news articles and in-depth analysis on emerging technologies, trends, and breakthroughs in the tech industry. The newsletter will be delivered to the email address provided during registration.

2.2.6. Benefit from educational resources, whitepapers, and exclusive content that provides in-depth insights into cutting-edge technologies to deeply understand new technologies.

2.2.7. Participate in free webinars hosted by Horys experts, industry leaders, and innovators. These webinars cover a wide range of tech topics and provide opportunities for Q&A sessions.

2.3. Fees are non-refundable for members joining our membership once your payment is processed. Therefore, all the membership benefits are granted and available for the full duration of each membership period, equivalent to a one (1) year membership.

2.4. The membership Privacy Policy is governed by the general terms of our Privacy and Cookies Policy. Therefore, Members shall read and understand all related documentation available on our Website.

2.5. By becoming a member, you agree to abide by these Terms and Conditions and the Privacy and Cookies Policy outlined on our Website. If you have any questions or concerns regarding your membership or our privacy practices, please do not hesitate to contact us at [e-mail].

3. PRODUCTS AND SERVICES

3.1. Horys develops a range of hardware, as can be found on our Website.

3.2. As a Customer, you acknowledge that each hardware is sold on an ‘as is’ and ‘as available’ basis, determined by availability. Product ranges will change from time to time.

3.3. Horys makes no warranties or representations that the hardware will be fit for any purpose other than the ones explicitly stated on our Website and in the product descriptions. All Products available on our Website are for personal use only. Products are not authorized for commercial or industrial use unless explicitly stated otherwise.

3.4. Each hardware may be subject to additional terms and conditions, in which case these Terms will be duly incorporated and shall be interpreted alongside the specific Product’s terms and conditions.

3.5. Images and colors of Products shown on our Website are for visual representation purposes only. The actual images, colors, dimensions, shapes (including variances from display settings used on the Website) may not accurately reflect the original Product. Accurate specifications of each Product are provided in addition to visual representations, and it is your sole responsibility to ensure these specifications meet your intended purpose.

3.6. As a Customer, you acknowledge and agree that all hardware sold by Horys is manufactured in China. This information is provided for transparency purposes only and does not affect the terms of sale, warranty, or functionality of the products.

4. ACCOUNT SET UP

4.1. In order to make any online purchase, you will need to create an account. The registration process on the Platform is mandatory. By utilizing your account, you affirm and assure that you will employ the account strictly for your own use and/or for the use of your legal entity when applicable. You commit not to employ the Account on behalf of any third party unless explicit legal authorization has been granted by us beforehand.

4.2. Upon registration with Horys, you will be subjected to a specified onboarding process designed to validate your information and facilitate the internal onboarding process. As part of this process, you must create a robust password, preserve it from any unauthorized use, and consent to abide by these specified Terms, the Privacy and Cookies Policy, and regulatory requirements applicable to our Platform, our Products, and services.

4.3. Horys might implement an additional User’s onboarding process which might include an AML Screening system (“KYC Screening”) designed to validate your identity and location, before you can place a purchase in our Platform. This identity verification/validation could include the following KYC process:

4.3.2. Document verification;

4.3.3. Identity verification;

4.3.4. Liveness check and face match; and

4.3.5. Email verification.

4.4. In providing us with the above-mentioned information, you represent and warrant that the information is accurate and authentic. Further, you agree to keep us updated if any of the information you provide changes. If there are any grounds for believing that any of the information you provided is incorrect, false, outdated, or incomplete, we reserve the right to send you a communication demanding corrections or to suspend or terminate all/part of our Services we provide you. If we are unable to reach you with the contact information you provided, you shall be fully liable for any loss or expense caused to us during your use of our Services.

4.5. By agreeing to these Terms, you provide consent for us to conduct inquiries, either directly or through third parties, as we may deem necessary to verify your identity or to safeguard both you and us against fraud and related crimes, which encompass identity theft, wire fraud, and forgery. Based on the outcomes of such inquiries, we reserve the right to take appropriate actions that we reasonably consider essential. Additionally, you explicitly acknowledge and consent that if required, your personal information may be disclosed to governmental institutions or authorities.

5. INTELLECTUAL PROPERTY RIGHTS

5.1. These Terms grant limited license to access and use our Website and hereby you agree that all the text, graphics, user interfaces, visual interface, images, logos, sounds, process flow diagrams, computer code, programs, software, products, information, and documents, design, structure, page headers, layout of any content included in our Website are exclusively owned by Horys.

5.2. All intellectual property (IP) rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, registered or not registered, associated with the Website, its technology, software, content, designs, logos, and any related materials, collectively referred to as ("Horys IP"), are and shall remain the sole and exclusive property Horys.

5.3. Each third-party website connected through the Platform operates under its own terms and conditions, including its separate intellectual property rights and use policies. Users acknowledge and agree that any content, technology, trademarks, logos, and other intellectual property associated with the Third-Party Partner Websites ("Partner IP") are owned by their respective Third-Party Partner Websites.

5.4. Customers shall adhere to the intellectual property policies and terms of use of each third-party website when interacting with their content and services. Any use of Partner IP outside the scope of these terms may result in actions taken by the respective Third-Party Partner Websites.

5.5. Customers shall not use, reproduce, distribute, modify, create derivative works from, or engage in any activity that infringes upon the intellectual property rights of Horys, or any Third-Party Partner. Unauthorized use of intellectual property is strictly prohibited and may lead to legal action.

6. RISK DISCLOSURE

6.1. Horys’ hardware is independent of their activities, which may be conducted through third parties. We do not make any warranties or representations regarding the operation of third-party providers and will not be liable for any loss or damage endured by the Customer as a result of such third parties.

6.2. By purchasing hardware, you acknowledge and accept that the capabilities may include engaging in activities utilizing blockchain technology and others. These activities can be deemed to be risky and uncertain in nature and using them may result in financial loss or other such losses, which are only under the due diligence and responsibility of the User. It is your sole responsibility to fully understand the activities you choose to engage in, and the risks associated with such activities. If you do not understand the market, you should refrain from any activities which may lead to losses or seek independent professional advice.

7. PRICE, PAYMENT AND DELIVERY

7.1. The price of each hardware device offered by Horys is subject to variability and may be changed at the sole discretion of Horys. Once a payment has been made and an order confirmation has been received, the price of the purchased items or services cannot be changed. It is the Customer's responsibility to visit the Website as needed to stay updated on the latest pricing information.

7.2. Purchases made on the Website may be subject to additional charges and payment conditions, which will be clearly defined during the checkout process or in the specific terms applicable to such purchase.

7.3. Horys accepts card payments, including Visa and Mastercard credit/debit cards, and payments in cryptocurrencies by electronic transfer. The displayed price and currency at the checkout page will be the same price and currency printed on the transaction receipt.

7.4. Payments made by credit cards are subject to additional fees which will be identified at checkout. Payments made in cryptocurrencies will be subject to additional gas fees, which will be displayed at checkout.

8. WARRANTY

8.1. Warranty provisions are subject to the specific hardware or Service you purchase.

8.2. Hardware Warranty:

8.2.1. All Hardware includes a standard warranty for one (1) year (“Warranty Period”) provided by the manufacturer of the Hardware (“Manufacturer”).

8.2.2. Standard warranty is provided by third-party manufacturers, not Horys. Horys bears no responsibility for the manufacturer’s warranty, and Customers are advised to read the terms of such warranty carefully before purchasing.

8.2.3. Customers may purchase additional warranty packages for their Hardware which can be found at checkout upon purchasing (“Additional Warranty Plans”).

8.2.4. Additional Warranty Plans are subject to their own Terms and Conditions which you are solely responsible for reading and agreeing to when purchasing.

8.2.5. The coverage of your hardware depends on the package you have purchased.

8.2.6. If you do not receive your order, or your order is damaged in transit, please contact our Customer Support at the Details provided in the ‘Contact Us’ clause for assistance with your matter.

8.3. In the event of a breakdown of resolution talks or negotiations, any dispute, difference, controversy or claim arising out of or in connection with these Terms, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of the Emirate of Dubai.

9. THIRD-PARTY SERVICE PROVIDERS AND LINKS

9.1. Horys relies on Third Party Service Providers in order to maintain the performance of the Platform to Users and exercise maximum compliance and security. We will not be responsible for any actions carried out by Third Party Service Providers.

9.2. Hory’s Website might be linked to Third Party Partner Websites in relation to our hardware and related products and services. Users shall implement due diligence and caution in reading and understanding the content available on such Third-Party Partner Websites. It is at the User’s discretion to establish any engagement with those websites, and the service and products available therein. Horys will not be held liable in relation to any access or utilization of any Third-Party Partner Websites.

10. MISCELLANEOUS

10.1. In accordance with applicable laws, we exclude all express or implied warranties, terms and conditions including, but not limited to, implied warranties of merchantability, fitness for a particular purpose and non-infringement. In addition to the extent permitted by applicable law, in no event whether as a result of Product defect, breach of contract, warranty; tort; copyright, trademark, trade secret, patent and other intellectual property infringement or otherwise, shall Horys or any of its agents or affiliates be liable for any special, consequential, incidental, indirect or exemplary damages, including, but not limited to, loss of profit, loss of use of the Products, cost of substitute Product.

10.2. No one other than Horys, Horys’ affiliates, and the Customer, shall have any right to enforce any provision of the present Terms and Conditions.

10.3. No failure, delay or omission by either party in exercising any right, power or remedy provided by law or under these Terms shall operate as a waiver of that right, power, or remedy, nor shall it preclude or restrict any future exercise of that or any other right or remedy. No single or partial exercise of any right, power, or remedy provided by law or under these Terms shall prevent any future exercise of it or the exercise of any other right, power, or remedy.

10.4. If any provision of these Terms, or part of any provision, is or becomes illegal, invalid or unenforceable, the legality, validity, and enforceability of any other provision of these Terms shall not be affected.

10.5. Horys shall have no liability under or be deemed to be in breach of these Terms for any delays or failures in the performance of these Terms which result from Force Majeure. The party subject to the Force Majeure event shall promptly notify the other party in writing when such the event causes a delay or failure in performance and when it ceases to do so.

11. MODIFICATION

11.1. These Terms and any other policies available on our Website are subject to modification at the sole discretion of Horys. Any changes or updates will be effective immediately upon being posted on the Website. It is the responsibility of the Customers to regularly check for updates and review the amended Terms and policies. By continuing to use the Website after any modifications, you signify your acceptance of the revised Terms and policies.

12. DISPUTE RESOLUTION AND GOVERNING LAW

12.1. Parties to these terms agree to resolve any disputes promptly and in an efficient manner within thirty (30) days after the dispute arises. In case of failure to reach an amicable solution, a dispute resolution will be exclusively governed under the laws of the United Arab Emirates (UAE) and the relevant Terms and Conditions in this document.

12.2. In the event of a breakdown of resolution talks or negotiations, any dispute, difference, controversy or claim arising out of or in connection with these Terms, including (but not limited to) any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, shall be subject to the exclusive jurisdiction of the Courts of the Emirate of Dubai.
